Rules governing the use of the e-KYC.lu platform

1. Introduction

These Terms of Use (hereinafter "Terms") apply to the e-KYC.lu website and platform, accessible at https://e-kyc.lu, published by IT-secure Luxembourg SARL, registered with the Luxembourg Trade and Companies Register under number B174255, with its registered office at 87, route d'Esch, L-4450 Belvaux, Grand Duchy of Luxembourg.

Access to and use of the e-KYC.lu platform are subject to these Terms. In the event of additional contracts, those contracts shall prevail in case of conflict with these Terms.

2. Acceptance

Registration, access to, or use of the e-KYC.lu platform implies full and unconditional acceptance of these Terms. If you do not accept these Terms, you must not use the service.

3. Electronic Communication

By using e-KYC.lu, you agree to communicate with us electronically. Communications sent by email or via platform notifications satisfy legal requirements for written communication.

4. Service Description

e-KYC.lu is a SaaS (Software as a Service) platform for KYC (Know Your Customer) and AML (Anti-Money Laundering) compliance enabling:

Centralised management of KYC files (individuals and legal entities)
Automated AML screening (sanctions, PEP, adverse information)
Certified AML/CFT online training
Continuous KYC portfolio monitoring and automatic alerts
Analytics dashboard and compliance reporting
Access reviews and periodic recertification
Ultimate Beneficial Owner (UBO) identification
Contract generation and electronic signature

5. Intellectual Property

IT-secure Luxembourg SARL and its licensors hold all intellectual property rights relating to the e-KYC.lu platform, including its interface, features, source code, texts, graphics, logos, images and databases.

No licence is granted to copy, reproduce, modify, publish, distribute or exploit any part of the platform content without prior written authorisation, except as permitted by law.

Data entered by the user in the course of using the service remains the property of the user and their organisation.

6. Third-Party Content

The platform may contain links to third-party websites or services (sanctions databases, public registries, etc.). e-KYC.lu is not responsible for the content, privacy policies or practices of such third-party sites. Users access these links at their own risk.

7. Registration and Account

Access to the platform requires the creation of an account. The user undertakes to:

Provide accurate and up-to-date information upon registration
Keep their credentials and password confidential
Not share their account with third parties
Immediately report any unauthorised use of their account

Any access made using the user's credentials is deemed to have been made by the user themselves.

8. Responsible Use

The user undertakes to:

Use the service in accordance with its intended purpose and applicable legislation
Not attempt to access other organisations' data
Not distribute malware or harmful code
Not systematically harvest data from the platform
Not disrupt the operation or security of the platform
Comply with applicable legislation, including AML/CFT requirements
Protect the personal data of their clients and counterparties

9. Multi-Tenancy and Data Isolation

e-KYC.lu is a multi-tenant platform. Each organisation has a segregated workspace. One organisation's data is never accessible by another organisation. The organisation's administrator is responsible for managing access and roles within their workspace. KYC data is encrypted with an individual password per file.

10. Service Availability

e-KYC.lu endeavours to keep the service available 24/7. Nevertheless, the platform is provided "as is". Access may be temporarily suspended for maintenance, updates or in cases of force majeure. e-KYC.lu does not guarantee uninterrupted service availability and shall not be held liable for any interruptions.

11. Warranties and Liability

e-KYC.lu provides no warranties, express or implied, as to the availability, accuracy, reliability or fitness of the service for a particular purpose. e-KYC.lu does not provide legal advice.

The results of automated screening must be analysed and validated by a qualified compliance professional. e-KYC.lu shall not be held liable for decisions made by users based on information provided by the platform.

The total liability of e-KYC.lu is limited to the amount paid by the user for the service during the preceding 12 months.

12. Submission of Ideas

Any idea, suggestion or feedback spontaneously submitted by the user regarding the platform grants e-KYC.lu a worldwide, irrevocable, non-exclusive, royalty-free licence to use, modify and incorporate such suggestions into the service.

13. Termination

The user may terminate their account at any time from their account settings. e-KYC.lu reserves the right to suspend or delete an account at any time in the event of a breach of these Terms, without compensation or prior notice.

14. Indemnification

The user agrees to indemnify and hold harmless e-KYC.lu and IT-secure Luxembourg SARL from any third-party claims arising from a breach of these Terms or misuse of the service.

15. Amendments to Terms

e-KYC.lu reserves the right to modify these Terms at any time. Modifications take effect upon publication on the platform. Continued use of the service after publication of modifications constitutes acceptance. Users will be informed of any material change by in-app notification or email.

16. Entire Agreement

These Terms, together with the Legal Notice and the Privacy Policy, constitute the entire agreement between the user and e-KYC.lu.

17. Governing Law and Jurisdiction

These Terms are governed by Luxembourg law. In the event of a dispute, the competent courts of the Grand Duchy of Luxembourg shall have sole jurisdiction. If any provision of these Terms is found to be invalid, the remaining provisions shall continue in force.
